TikTok has signed agreements with investors to form a new U.S. joint venture, according to a memo from CEO Shou Chu. The deal, confirmed by sources and detailed in a letter obtained by CNBC, sets January 22, 2026 as the closing date, aligning with a deadline previously established by former President Trump.

Under the agreement, a consortium of new investors—Oracle, Silver Lake, and MGX—will each hold 15% of the venture, while affiliates of existing ByteDance investors will hold 30.1%. ByteDance will retain a 19.9% stake, ensuring U.S. ownership exceeds 50%. The joint venture will oversee data protection, algorithm security, content moderation, and software assurance.
